Terms of Use

Last updated: 2026-10-15

1. About these Terms

These Terms of Use (“Terms”) are an agreement between you and Black Path Labs Corporation, a California corporation (“Black Path Labs,” “we,” “us” or “our”). They govern your access to and use of blackpathlabs.com and its pages (the “Site”).

By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

If you use the Site on behalf of a company or other organization, you confirm that you have authority to accept these Terms for it. In that case, “you” includes that organization.

Our Privacy Policy explains how we handle personal information. It is a separate document available on the Site.

2. Who may use the Site

The Site is intended for business and professional use, including by prospective clients and prospective investors. It is not directed to consumers or to children.

You must be at least 18 years old to use the Site. By using it, you confirm that you are.

3. The Site is for information only

The Site describes Black Path Labs and the work we do. It is provided for general information. Nothing on the Site is:

  • an offer to provide services on particular terms;
  • a contract, commitment or guarantee; or
  • legal, financial, tax, investment, engineering or other professional advice.

We try to keep the Site accurate and current, but we do not promise that it is complete, accurate or up to date. We may change or remove any content at any time.

4. Our services are governed by signed agreements

We provide services only under a separate written agreement signed by Black Path Labs and the client (a “Signed Agreement”). This includes consulting, managed AI services, integrations, Black Path Core, Black Path Keep, Black Path Zones and pilot programs.

These Terms do not govern any service we provide. Each service is governed by the applicable Signed Agreement. If these Terms conflict with a Signed Agreement, the Signed Agreement controls.

Descriptions on the Site of our services, technology, security and data handling are general summaries. They may not reflect the setup of any particular engagement. Our commitments to a client, including on security, encryption, data location, performance and availability, are those stated in that client’s Signed Agreement.

Using the Site, contacting us, or exchanging emails or proposals with us does not create a client relationship. A client relationship begins only when a Signed Agreement takes effect.

5. Not for emergency or safety-critical use

Do not rely on the Site, or on any information on it, for emergency purposes. Do not rely on it in any situation where an error, delay or interruption could lead to death, personal injury, or property or environmental damage.

Some of our work involves emergency-calling portals, emergency alerts, telecommunications networks and industrial control systems. That work is designed, tested and supported only under a Signed Agreement that addresses it. Nothing on the Site describes or warrants how any such system will perform.

In an emergency, contact your local emergency services.

6. Information for prospective investors

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any securities of Black Path Labs. Any offer of securities would be made only through separate offering documents, to eligible persons, in compliance with applicable securities laws.

Do not rely on the Site in making an investment decision. Its content is not prepared or reviewed for that purpose, is not complete for that purpose, and may not be current.

Forward-looking statements. Statements on the Site about our plans, products in development, pilots, markets and future performance are forward-looking. They reflect our current expectations and involve risks and uncertainties. Actual results may differ materially. We have no obligation to update them.

Investor materials we share separately, such as presentations or financial information, are governed by the terms and confidentiality obligations that come with them, not by these Terms.

7. Related products and other websites

The Site mentions Call a Voice and IntakeLaw. Both are operated by Call a Voice Corp., a separate company. Their use is governed by Call a Voice Corp.’s own terms and policies. Black Path Labs is not a party to those terms and is not responsible for those products.

The Site may link to other websites. We do not control them and are not responsible for their content, products, services or privacy practices. A link is not an endorsement. Your dealings with any third party are between you and that third party.

8. Training and events

The Site may describe training programs or events, such as Fleet Commander. Expressing interest, by email or otherwise, is not a registration, purchase or commitment by you or by us. Program details, prices and dates may change. Any registration will be governed by separate terms provided at that time.

9. Black Path Labs Notifications (text messages)

This section applies if you have opted in to receive text messages from us.

The program. Black Path Labs Notifications is a notification and customer-care text messaging program operated by Black Path Labs Corporation. If you opt in, we may send you messages about work you or your organization asked us to do:

  • operational status notices from systems we run for you;
  • requests for an approval or action before work continues;
  • appointment and scheduling reminders;
  • account and security notices, including one-time codes; and
  • replies to messages you send us.

We do not send marketing or promotional messages through this program.

Sender numbers. Program messages come only from these numbers. A text from any other number claiming to be from us is not from us.

NumberRegionType
+1 866 251 1576United StatesToll-free
+1 431 302 8364CanadaLong code

Consent. We send program messages only to people who have opted in. You can opt in by checking an unchecked box on a web form, by signing a written authorization, or by texting us first and confirming. Your consent covers only the number and the types of messages you agreed to. Consent is not a condition of purchasing any goods or services.

Frequency and cost. Message frequency varies. Message frequency varies with the work we do for you. Message and data rates may apply. We do not charge for program messages.

Opting out and help. Text STOP to opt out at any time. Text HELP for help. Reply STOP to any message to stop receiving messages from that number. We also accept END, CANCEL, UNSUBSCRIBE and QUIT. We will send one message confirming that you have opted out. Reply HELP for help, or email admin@blackpathlabs.com. You can opt back in by replying START.

Delivery. Carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier and on conditions outside our control. Do not rely on text messages for anything time-critical or safety-critical.

Supported carriers. The program is supported on major carriers in the United States and Canada, including AT&T, Verizon Wireless, T-Mobile, US Cellular, Boost, MetroPCS, Cricket, Google Voice, Rogers, Bell, TELUS, Freedom Mobile, Videotron, SaskTel, Fido, Koodo, Virgin Plus, and their associated regional and prepaid brands. T-Mobile and other carriers are not liable for delayed or undelivered messages. Carrier support can change without notice, and we cannot guarantee delivery on every carrier or device.

Your responsibilities. Enroll only a mobile number that you control and are authorized to enroll. Tell us if your number changes, so we do not message its new holder. Do not send unlawful, abusive or harassing content to our numbers. We may remove a number from the program at any time, including if we believe it was enrolled without the holder’s consent.

Privacy. We do not sell, rent or share mobile numbers or text-messaging opt-in data and consent with third parties or affiliates for their marketing or promotional purposes. Our Privacy Policy explains how we handle your mobile number and consent records.

10. Acceptable use

You may use the Site only for lawful purposes and in line with these Terms. You may not:

  • access, or try to access, any part of the Site or any system or network behind it without authorization;
  • probe, scan or test the vulnerability of the Site or our systems, or breach any security or authentication measure;
  • use bots, scrapers or other automated means to access or copy the Site, except ordinary search-engine indexing that respects our robots.txt file;
  • use content from the Site to train, fine-tune or evaluate artificial intelligence or machine-learning models without our written permission;
  • interfere with the operation of the Site, or place an unreasonable load on our infrastructure;
  • upload or transmit viruses or other harmful code;
  • impersonate any person or organization, or misrepresent your affiliation with us;
  • frame or mirror the Site, or remove any proprietary notice from its content; or
  • use the Site in a way that violates any law or anyone’s rights.

Reporting security issues. If you believe you have found a security vulnerability, please email admin@blackpathlabs.com with the details. Do not access data that is not yours, disrupt the Site, or disclose the issue publicly before we have had a reasonable chance to fix it.

We may suspend or block anyone’s access to the Site at any time, for any reason, without notice.

11. Intellectual property

The Site and its content, including text, graphics, images, diagrams, design, code and their arrangement, are owned by Black Path Labs or its licensors. They are protected by copyright, trademark and other laws.

“Black Path Labs,” “Black Path Core,” “Black Path Keep,” “Black Path Zones” and related names and logos are trademarks of Black Path Labs. Other names and marks on the Site belong to their owners.

You may view the Site, print or save a reasonable number of pages for your own evaluation of Black Path Labs, and link to the Site. Otherwise, you may not copy, reproduce, distribute, modify, publicly display or create derivative works from any content without our prior written permission. You may not use our names or logos in a way that suggests we endorse you or are affiliated with you. We reserve all rights not expressly granted.

To request permission, email admin@blackpathlabs.com.

12. Information you send us

Please do not send us confidential or proprietary information through the Site or by email unless we have first agreed in writing to receive it under a confidentiality agreement. Without such an agreement, information you send us will not be treated as confidential.

Personal information you send us is handled under our Privacy Policy.

You are responsible for what you send us. You confirm that you have the right to send it and that it does not violate any law or anyone’s rights.

Ideas and feedback. If you send us suggestions, ideas or feedback about our products or services, you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose, without compensation or attribution to you.

13. Copyright complaints

We respect the intellectual property rights of others. If you believe material on the Site infringes your copyright, please send our designated agent a written notice that includes:

  1. identification of the copyrighted work you claim is infringed;
  2. identification of the material you claim is infringing, and where it is on the Site;
  3. your name, mailing address, telephone number and email address;
  4. a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law;
  5. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner; and
  6. your physical or electronic signature.

14. Affiliates

“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Black Path Labs Corporation. “Control” means owning more than 50% of an entity’s voting interests, or having the power to direct its management and policies.

“Black Path Parties” means Black Path Labs, its Affiliates, and their respective officers, directors, employees, agents, licensors and successors.

Affiliates are not parties to these Terms and have no obligations under them. The Black Path Parties may rely on and enforce Sections 15, 16 and 17.

15. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, ITS CONTENT AND THE BLACK PATH LABS NOTIFICATIONS PROGRAM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THE BLACK PATH PARTIES DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY.

WE DO NOT WARRANT THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT IT IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

This section does not affect any warranty given in a Signed Agreement.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  1. THE BLACK PATH PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE OR THE BLACK PATH LABS NOTIFICATIONS PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  2. THE TOTAL LIABILITY OF THE BLACK PATH PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE OR THE BLACK PATH LABS NOTIFICATIONS PROGRAM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

These limits apply whatever the legal theory, whether contract, tort (including negligence), statute or otherwise.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, willful misconduct or gross negligence.

This section does not apply to services provided under a Signed Agreement. Liability for those services is governed by that agreement.

To the extent permitted by law, any claim arising out of or relating to these Terms or the Site must be brought within one year after it arises.

17. Indemnity

You will defend, indemnify and hold harmless the Black Path Parties from and against all claims, losses, damages, liabilities, costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your violation of these Terms;
  2. your misuse of the Site; or
  3. your violation of any law or any third party’s rights.

We may take control of the defense of any such claim at your expense. If we do, you will cooperate with us.

18. Governing law and disputes

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws rules.

Before filing a claim, you agree to email admin@blackpathlabs.com describing the dispute, and to try in good faith to resolve it informally for at least 30 days.

Any dispute that is not resolved informally will be heard only in the state or federal courts located in Los Angeles County, California. You and we consent to the personal jurisdiction of those courts and waive any objection to venue there. However, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or the security of the Site.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on the Site and change the “Last updated” date.

Changes take effect when posted and apply to your use of the Site after that date. They do not apply to any dispute that arose before they were posted. If you do not agree to the updated Terms, please stop using the Site.

20. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Site. They do not change or replace any Signed Agreement.

Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms to an Affiliate, or to a successor in a merger, acquisition, reorganization or sale of all or substantially all of our assets.

Severability. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms will remain in effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

No third-party beneficiaries. No one other than you and us has rights under these Terms, except the Black Path Parties as stated in Section 14.

Relationship. These Terms do not create any partnership, joint venture, agency or employment relationship.

Electronic communications. You agree that we may communicate with you electronically, and that electronic notices satisfy any requirement that they be in writing.

Interpretation. Headings are for convenience only. “Including” means “including without limitation.”

Accessibility. We want the Site to be accessible to everyone. If you have difficulty using any part of it, please email admin@blackpathlabs.com with “Website Access” in the subject line. Describe the problem and the browser and device you are using.
